Business Transactions
Our business transaction practice represents commercial enterprises ranging from start-ups to Fortune 100 companies. Our attorneys have a broad range of experience negotiating and drafting transaction documents including real estate purchase and sale agreements, commercial leases, non-compete, distribution and licensing agreements. Our practitioners are also experienced in negotiating and documenting business mergers, acquisitions and divestitures. Industries represented include banking, medical and dental practices, manufacturing, real estate, retail sales and distribution.

Banking and Commercial Finance
Our commercial finance attorneys represent local, regional, and national lenders and borrowers. We have extensive experience structuring, negotiating and documenting a broad range of secured and unsecured finance transactions, including asset-based and conventional loans. Our practice represents borrowers and lenders in leasing and project finance transactions, real estate and aircraft financing, syndications and participations, mezzanine and equity financing and government loan programs. We are routinely consulted by our clients to counsel them on the structuring and documenting of complex and sophisticated lending transactions.

Commercial Real Estate
Our commercial real estate practice includes, in addition to real estate-related financing described above, representing developers, brokers, management companies, landlords, tenants, family funds and high net worth individuals in virtually all aspects of commercial real estate, from pre-acquisition due diligence through the sale of improved leased property. We have helped our clients in managing environmental regulatory risks; reviewing and resolving survey and title-related issues; obtaining environmental, annexation, zoning, subdivision, zoning and other land use and development approvals at the federal state and local levels; organizing joint venture vehicles for ownership and development; negotiating and closing complex, multi-parcel land purchases, sales and ground leases; converting rental properties to residential condominiums and developing new residential and commercial condominiums and home owners associations; advising community associations on an ongoing basis; negotiating design and construction contracts; setting up and operating leasing programs for landlords, negotiating leases on behalf of tenants; and structuring sale-leaseback transactions. Our practice covers the extended Chicago metropolitan area -- downtown, suburban and rural fringe -- vacant land, high rises, office and industrial parks, strip centers and malls and residential rental buildings and complexes.

Litigation Practice
Our litigation practice covers a broad range of commercial disputes with concentrations in banking, real estate, construction, employment and tort litigation.

Our banking litigation practice represents several financial institutions in the areas of bank fraud, workouts and foreclosures and trust issues. Our attorneys have extensive experience enforcing loan agreements and guaranties and protecting our banking clients' interests in foreclosure and mechanics' lien litigation.

Real Estate
Our litigation attorneys represent commercial developers, brokers and landlords. We have extensive experience representing developers in litigation arising out of large scale condominium conversions. We represent commercial brokers in commission disputes and advise them with drafting commercial listing agreements to protect and maximize their interests. We also represent commercial landlords in connection with lease disputes and enforcement.

In our employment law practice, we counsel employers on a wide range of personnel issues and litigate disputes involving employment discrimination and wrongful discharge claims, wage and hour disputes, non-compete agreements and trade secret misappropriation, employee testing and personnel policies. We draft and review employers' policies and procedures. The Firm has negotiated separation agreements and employment contracts for numerous senior executives.

Our construction litigation practice represents owners, lenders, architects, engineers, general contractors and subcontractors involving claims for building defects, personal injury, mechanic's liens, breach of contract and insurance issues. We counsel our construction clients on the costs and benefits associated with protracted litigation and offer creative strategies for resolving construction disputes.
